These Website Terms of Use ("Website Terms") govern use of the Raw Trade website and online service operated by Raw Trade Cosmetics Ltd, a company registered in England and Wales under company number 08631262, whose registered office is at Wiston House, 1 Wiston Avenue, Worthing, West Sussex BN14 7QL ("Raw Trade", "we", "us" or "our").
By using the website, you agree to these Website Terms. Separate Seller Terms or Buyer Terms apply where you use those services and take precedence in relation to the relevant contractual service.
1. About Raw Trade
1.1 Raw Trade operates a business-to-business service for surplus and excess raw materials, primarily enabling Sellers to advertise available stock, Buyers to enquire about that stock, and Buyers to submit search requirements.
1.2 Raw Trade acts as an introducer and listing service. It does not buy, sell, manufacture, own, possess, store, inspect or handle the listed materials.
1.3 Any sale is contracted directly between Buyer and Seller. Raw Trade is not a party to that sale.
1.4 Listing information is generally supplied by Sellers and is not independently verified unless expressly stated otherwise.
1.5 Raw Trade may charge Sellers listing fees and sales commission, and may charge Buyers for publishing or circulating search requirements. Applicable contractual and commercial terms are dealt with under the relevant Buyer or Seller arrangements.
2. Business Use
2.1 The website and marketplace services are intended for business users. They are not intended for consumers purchasing for personal, family or household purposes.
3. Using the Website
3.1 You must use the website lawfully and must not use it for fraud or unlawful activity, attempt unauthorised access, introduce malicious software, interfere with operation, infringe rights, or scrape or harvest data except where permitted by law or expressly authorised by Raw Trade.
4. Listings and Website Information
4.1 Raw Trade aims to present information clearly, but stock and other information may change.
4.2 Raw Trade does not warrant that listings or other website information are always available, complete, current or error-free.
4.3 You are responsible for your own checks and due diligence before relying on information or entering a transaction.
4.4 Website information is not technical, legal, regulatory, safety or other professional advice.
4.5 Where date-derived information such as remaining shelf life is automatically updated by the website, it remains based on underlying dates supplied by the relevant Seller and is not independent verification by Raw Trade.
5. Enquiries, Search Requirements and Introductions
5.1 An enquiry does not reserve material, create a purchase contract or oblige a Seller to transact.
5.2 Buyers may also ask Raw Trade to publish or circulate a search requirement. This may be a paid service, with any fee and service details agreed before publication.
5.3 Raw Trade may request information reasonably needed to progress an enquiry or search requirement.
5.4 Seller and Buyer Terms are accepted separately where applicable and govern those services.
6. Intellectual Property
6.1 Raw Trade owns or licenses the intellectual property in its website, software, branding, database structure, presentation and original content.
6.2 You may view and use the website for legitimate business purposes connected with the Raw Trade service, but may not reproduce, exploit or redistribute protected content except as permitted by law or with permission.
6.3 Seller-supplied material and documentation may be subject to rights belonging to Sellers, manufacturers or other rights holders.
7. Website Availability and Changes
7.1 Raw Trade may change, suspend or withdraw all or part of the website and does not guarantee uninterrupted availability.
7.2 Raw Trade may update these Website Terms from time to time. The version published on the website will apply from its stated effective date.
8. Third-Party Websites and Services
8.1 Links to third-party websites or services are provided for convenience and do not amount to endorsement. Raw Trade is not responsible for third-party content, availability or practices.
9. Liability
9.1 Nothing in these Website Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
9.2 Subject to clause 9.1, Raw Trade is not liable for losses arising from reliance on Seller- or Buyer-supplied information, material quality or suitability, third-party acts or omissions, transactions between users, website downtime, or third-party services.
9.3 Raw Trade is not liable for indirect or consequential loss, loss of profit, revenue, business, anticipated savings or goodwill arising from use of the website.
9.4 Contractual liability arising from Seller or Buyer services is additionally governed by the applicable Seller or Buyer Terms.
10. Privacy and Cookies
10.1 Raw Trade processes personal information in accordance with its Privacy Policy at /privacy.
10.2 The website may use cookies or similar technologies. Where consent is required for non-essential technologies, Raw Trade will seek it through the website.
11. General
11.1 If any provision is invalid or unenforceable, the remaining provisions continue in effect.
11.2 Failure or delay in enforcing a right does not waive it.
11.3 Nothing in these Website Terms creates a partnership, joint venture, employment relationship or agency.
12. Governing Law and Jurisdiction
12.1 These Website Terms and any dispute or claim arising from them are governed by the laws of England and Wales.
12.2 The courts of England and Wales have exclusive jurisdiction.
